READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE DISTRIBUTED WITH THIS LICENSE AGREEMENT. VisualBots for Excel (the "SOFTWARE") consists of an ActiveX control for Microsoft Excel, a Microsoft Excel Add-in, sample simulation projects, an installation program, and HTML help documentation. The Waite development team (Michael, Carla, Alecia, Kaylee, and Emily Waite - the "AUTHORS") are the licensor under this Agreement and you are the licensee. By using the SOFTWARE, in whole or in part, you agree to be bound by the terms of this Agreement. If you do NOT agree to the terms of this EULA, you may not install nor use the SOFTWARE; If this is the case, please do not click "I ACCEPT" during installation. Title to the SOFTWARE and all Copyrights and other proprietary rights therein are owned by the AUTHORS. All rights therein, except those expressly granted to you in this Agreement, are reserved by the AUTHORS.
If you accept this EULA during installation, the AUTHORS grant you a non-exclusive, non-transferable license to USE the SOFTWARE for personal use. Under no circumstances however, may you distribute any unaltered or altered version of the SOFTWARE through any means, including, without limitation, personal bulletin boards, ftp sites, the Web, floppy disk or other storage device, or under any name, including without limitation, your name, the AUTHORS’ names or any third party's name.
This Agreement and your rights hereunder shall automatically terminate if you fail to comply with any provision of this Agreement. Upon such termination, you shall cease all use of the SOFTWARE. Further you shall delete the SOFTWARE and destroy any archival copies of the SOFTWARE and other materials related to the SOFTWARE in your possession or under your control, or, if downloaded or if provided as part of a collection, you shall cease use of and destroy any and all copies of the SOFTWARE in your possession or under your control.
All title and Copyrights in and to the SOFTWARE (including but not limited to any images, text, and "applets" incorporated into the SOFTWARE), the accompanying help documentation, and any copies of the SOFTWARE are owned by the AUTHORS. The SOFTWARE is protected by U.S. Copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE like any other Copyrighted material.
NO WARRANTIES. The AUTHORS expressly disclaim any warranty for the SOFTWARE. The SOFTWARE and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The entire risk arising out of the download, use, or performance of the SOFTWARE remains with you.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall the AUTHORS or its distributors be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this product (THE SOFTWARE) and related materials, even if the AUTHORS have been advised of the possibility of such damages. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
